Givt Ltd. ("Givt") delivers a payment solution using its smartphone app, whereby donations can be made digitally using a variety of methods such as a beacon, a Givt QR code or by selecting an organisation from the list in the Givt app. Givt provides the beacons, an online dashboard to monitor and manage the donations received, and the app itself (the "Products"). You acknowledge that the donations will be made anonymously and via Givt, and that the anonymity of your donors will be honoured.

These general terms and conditions are applicable to all offers, work, legal relations and agreements where Givt agrees to provide the Services, including the associated Products thereto.

During onboarding as a customer of Givt, you will digitally agree to these terms, the fees displayed herein and you will sign a direct debit mandate (see "Direct debit authorization" hereunder). If you do not agree to these terms and conditions, you will need to stop onboarding and not utilise the Products and the Services. You acknowledge that acceptance of these terms and the fees and signing of the mandate will be undertaken by an authorised person, authorised to sign on your behalf. Deviations to these terms and conditions are only applicable if agreed between parties in writing.

The one-off starting costs will be invoiced to you and collected once authorisation has been issued.

We have the right to adjust the aforementioned Fees, either as a result of changes in fees payable to our service providers or if an expansion to the scope of our services has occurred. We will notify you of this at least 30 days in advance. If the adjustment results in an increase and you do not agree, you can cancel the collaboration. It is also possible that the rates can be lowered if Givt deems it feasible.

Services

We will provide you with technical support, one (or more) beacon(s), and access to our online dashboard (via the computer or mobile app). The dashboard will enable you to see the donations and obtain summarised and anonymised reports and overviews such as volume and value of transactions.

Under this collaboration you will advocate the Givt system to your congregation, visitors, and other potential donors. We will discuss with you which methods of communication are best suited to you and your church.

Products

We stand for the reliability of our delivered Products. We will do all that we can to ensure this, or provide full cooperation, as can reasonably be required of us.

All Products delivered remain at all times our property or, where relevant, that of our suppliers. You are obligated to use and store the Products with the necessary care and in accordance with our instructions in relation to usage.

We will repair or replace all parts or components of the delivered Products free of charge, unless it appears that the Products have been misused (for other purposes) or not handled with sufficient care. Where this occurs, Givt may terminate the collaboration, without notice. The rules described under the heading "Terms and Termination" are also applicable.

Processor

Givt is registered as a Small Payment Institution. We have made an agreement with the payment service provider Eazy Collect, a financial institution (the "Processor"), to complete the processing of payment from donors to your account.

The Processor initiates the transactions, collects funds and processes the monies due, minus the cost it charges for handling these transactions (as shown above) to the safeguarded account, where they are sorted and allocated to the appropriate recipient.

You acknowledge that the payment information is dealt with anonymously and can only be used for data collecting, statistics overviews, and comparisons. Only the total amounts will be shared with you and we ensure that none of the personal information can be traced to your donors.

Givt and the Processor will process your information in accordance with the law and regulations applicable to data protection. Payments, refunds, and reversals

Once the donations are successfully received by the Processor and transferred to the client fund account held by the Processor, we will transfer all donations received to the bank account provided once a week. The amount that is paid to you will be the total transaction amount minus all fees, reversals, and possible corrections. You hereby authorise us to deduct the amounts owed by you and any received reversals from the donations before they are transferred to you.

You acknowledge that a donor can at all times - within the terms given by the giver's bank - reverse a donation. Reversals will be settled as part of the other donations that Givt processes on your behalf.

In case the collected but still to be paid amounts are insufficient to cover a reversal, you are, once notified by us, required to refund this reversal amount and all additional costs to the client fund account. This will take place via Givt. We will send you a request for this. Should this request not be followed up upon, you hereby authorise us to debit the provided bank account for the amounts due.

Liability

We do our best to ensure that the donations your donors wish to make are actually collected. All funds actually received will be paid by us through the PSP. However, there is no guarantee for the receipt of a donation, for example because the donor cancels the transaction prematurely, the collection is not successful or because the donor makes a reversal. It is then up to the donor to decide whether they still want to make the donation.

Our total liability resulting from the collaboration will not be larger than the total amount of fees during the two (2) months immediately preceding the incident. This does not apply to funds actually received, which the Processor and Givt are required to pay out to you. Our total liability with respect to the Products is limited to replacement thereof. We are not liable for indirect damage, including - but not limited to - lost income and non-receipt of donations.

Reputation damage

If an incident occurs that could lead to damage to your reputation, it is important that you can quickly terminate your connection with Givt to the outside world. When you report that you want to terminate the collaboration because of the risk of damage to your reputation, an accelerated procedure applies, provided there is a real reason to do so. In concrete terms, this means that the mention of your organisation in the app and on the website will be removed within one day. In that case, the processing time of 30 days as mentioned in Terms and Termination does not apply. The similarly mentioned period of 100 days to process all transactions and permutations remains applicable, as this is legally necessary and cannot further damage your reputation. Damage to Givt's reputation as a result of an incident on the part of your organisation can lead to the same accelerated termination and will, of course, be communicated to your organisation and objections can also be raised.

Terms and termination

This collaboration has an indefinite term, unless terminated by either party.

You are authorised to terminate the collaboration at any time with immediate effect. Upon termination, there is a period of 30 days within which the receiving party will be removed from the system and the app (unless there is damage to reputation, see Reputation Damage). Thereafter, there will be 100 days in which amounts that are in process will be paid out.

If the collaboration is ended, you will return the Products and stop the use of the Services. If the Products are not returned within thirty (30) days of the cancellation, Givt is entitled to bill you a replacement cost (100 pounds per beacon).

Any outstanding amounts must be paid as soon as possible. Any donations received before the termination date will still be processed and paid to you. You also remain liable after the termination of the collaboration for any reversals of payments that have already been made to you.

Other provisions

Any disputes arising will, at first, be fully explained in writing by the disputing party to the other and both parties will make reasonable endeavours to resolve the dispute amicably without giving rise to substantial costs. In any event, all disputes, whether resolved or otherwise, are regulated by and interpreted in accordance with the Laws of England and Wales.

Givt may amend these terms and conditions. If you do not agree to the change(s), you retain the right to terminate the agreement.

AML, KYC and direct debit instruction

Before you can receive donations using the Givt Products and Services, we need to register your organisation in our system and execute some checks for Anti Money Laundering purposes. As a financial institution, Givt is legally obliged to identify and verify its customers. We do this in several steps. First, we ask for the organisation reference with a regulator (for example Charity Commission), where we can verify the organisational details. If you do not have a registration with a regulator, we can ask for further documentation to establish and verify the organisational details. Secondly, we ask you to submit a recent bank statement so we can verify the account being paid out belongs to the organisation. Thirdly, we ask a bank account holder to verify the details and sign the Direct Debit Instruction to verify the account is active and able to receive donations.

By providing the Direct Debit Instruction online, you declare that the bank account belongs to the Receiving Party and that the donations received by Givt may be transferred to this account and, by agreeing, you give permission to Givt Ltd. to send direct debit orders to your bank to debit the amounts from your account in accordance with the assignment of Givt Ltd.*

* If you do not agree with this withdrawal, you can have it reversed. Please contact your bank and ask your bank about the conditions.
